  • The financial restructuring process of Grupo Casas Bahia consisted primarily of the reprofiling of the 1st and 3rd series of its 10th Debenture Issuance, followed by a new offering executed through the 11th Debenture Issuance.

  • Approximately ~R$ 3.3 billion in liabilities were restructured, of which nearly ~R$ 2.0 billion will be converted into the Company’s shares.

  • The transaction is expected to generate total cash savings of ~R$ 4.7 billion through 2030 for Grupo Casas Bahia.

  • The transaction positions the Company for a new growth cycle, focused on developing data centers projects for hyperscalers and delivering artificial intelligence and machine learning solutions.

Financial restructuring

  • Financial restructuring process, as disclosed in the Material Fact published on June 5, 2025.

 

  • The transaction consisted mainly of:
    i. Early conversion of the 2nd Series of the 10th Debenture Issuance in the amount of R$ 1,566 mn from October 2025 to June 2025.
    ii. Reprofiling of the 1st Series of the 10th Debenture Issuance in the amount of R$ 1,678 mn: extension of the amortization schedule and interest grace period.

 

  • The Company concludes the transaction with a capital structure that is more in line with its market peers, and with Mapa Capital as a new controlling shareholder.
